Development Company (STUSID) was incorporated on May 30th of 1981 by virtue of
an agreement entered by, and between, the Government of the republic of Tunisia and
the Government of the Saudi Arabia Kingdom. |

| STUSID's capital, amounting to 100 Million
TND* is subscribed to, equally, by the Government of the republic of Tunisia and the
Government of the Saudi Arabia Kingdom. The company capital equity stood at 178 Million
TND on December 31st, 1999. |

| The STUSID is a financial institution whose
mission is to promote and finance productive projects in Tunisia, particularly those
relating to industrial, agricultural, real estate, tourist and services sectors. |
